General terms of business

1. By placing an order, our general terms and conditions are accepted. Our offers are non-binding. Availability of delivery and quantities are subject to change.
        
2. The sale is made at the prices valid on the shipping date. The invoice is considered to be equivalent to the order confirmation. The invoice date is the shipping date. Unless otherwise agreed, delivery is made ex works. The goods travel at the buyer's risk.
        
3. The buyer must immediately inspect the received goods for quantity, condition, and assured properties. Complaints must be made to us within 8 days of receiving the goods. Later complaints cannot be accepted.
        
4. Unless otherwise agreed, advance payment is the standard payment condition.
        
5. We have the right to assign our claims against the buyer to a third party.
        
6. German law applies to the business relationship between us and the buyer.
        
7. If the buyer is in default of payment for any claim, all other claims against the buyer may become due.
        
8. The buyer shall bear all fees, costs, and expenses incurred in connection with any legally successful legal action taken against him outside Germany.
        
9. Force majeure, operational disruptions, or supply difficulties entitle us to withdraw from the purchase agreement.
        
10. The applicability of the buyer's general terms and conditions that contradict our general terms and conditions is excluded.
         

Retention of title
 

All goods delivered shall remain our property until paid for in full. The Buyer shall be obliged to advise us immediately of any action by third parties against the goods delivered under retention of title.

If due to resale or for any other reason our title to the delivered goods is destroyed then the claims arising out of such destruction against third parties to the amount of our claims shall pass to us in each particular case also without a special agreement.

The laws on preferential settlement as per § 43 and § 46 of the Bankruptcy Act shall remain reserved to us. The right of disposal shall cease to exist once the Buyer suspends his payments.

Place of performance: Herford/Westf.
Court of jurisdiction: Herford or Bonn at our option.
